To use the platform provided by "Fundai" (hereinafter referred to as "the Platform"), with the account you register on the Platform (hereinafter referred to as "Account") and the related services of this website (URL: https://fundaitek.com/, hereinafter referred to as "the Website"), you agree that by accessing the Website and using the services (collectively, "the Services"), you will be bound by the following terms and conditions ("the Terms of Service"). Please read this agreement (as defined below, including the Terms of Service) carefully. If you do not agree to the contents of this agreement, please do not register an account, access the Website, or use the Services.

Please note that before using the Services, you must carefully review our Privacy Policy and Disclaimer. If you have any questions or cannot accept the Privacy Policy or Disclaimer, please contact Fundai before using the Services. The agreement between you and Fundai includes these Terms of Service (the "Agreement"). Fundai reserves the right to change, revise, or update the Agreement at any time; additional terms may be added for future services, and if you use the Services, such additional terms will also form part of the Agreement. If there are any subsequent changes, revisions, or updates to the Agreement and you do not agree to them, you may still access your transaction records and funds, but you will not be able to continue using other Services or the Website.

1. Acceptance of the Agreement

By accessing or using the Services and the Website in any manner (including but not limited to via third-party devices or services), you acknowledge and agree to be bound by the terms of this Agreement, which may be revised in accordance with Article 12.2 of these Terms of Service.

2. Eligibility

Under applicable laws, by accessing and using the Services and the Website, you agree to the Agreement and represent and warrant that:

(1) You are at least 18 years old or meet the minimum legal age required by applicable law to use the Services without parental or guardian consent;

(2) You agree to the contents of the Agreement (and have full capacity to do so);

(3) You are not a resident or national of a country or region prohibited from commercial transactions with U.S. nationals (e.g., countries designated by the U.S. Department of the Treasury’s OFAC), nor are you listed on the Specially Designated Nationals And Blocked Persons List ("SDN List");

(4) You have not been suspended or removed from the Website;

(5) You genuinely own all digital assets on the Platform (or are authorized to transact such assets);

(6) You have obtained all necessary authorizations and consents to transact with your Account;

(7) You have provided true, accurate, and complete information for account registration; and

(8) You have read all risk disclosures in the Agreement and agree to assume all risks described.

If you do not meet the above qualifications, do not access or use the Services or the Website. Otherwise, you and/or your parents/legal guardians shall bear all legal and financial responsibilities arising therefrom, and Fundai has the right to claim compensation for damages caused by such access or use. Fundai also reserves the right to suspend, cancel, or terminate your user account, block your account transactions, or freeze your assets.

3. Privacy Policy and Cookie Policy

Please review our Privacy Policy to understand how we collect, process, and use your personal data. Also, review our Cookie Policy to understand how Fundai stores, uses, and accesses cookies, web beacons, pixels, clear gifs, and other similar technologies.

4. Account Registration and Security

(1) To use certain features of the Services and the Website, you must first register a Fundai account. Once the activation process is complete, you become a registered user and may access and use the Services and Website. Your Fundai account registration is subject to this Agreement.

(2) During registration and subsequent activation, you must provide certain personal information, including but not limited to: username, email address, and set up your account and password. Access to and use of the Services is subject to Fundai’s sole discretion. "Affiliate" refers to any entity that directly or indirectly controls, is controlled by, or is under common control with another entity, and "control" means direct or indirect power over management and policies through ownership of voting stock, contract, or otherwise.

(3) By activating your account or accessing the Services and Website, you agree to:

a. Provide accurate, current, and complete personal information and update it as necessary;

b. Maintain the security of your identification;

c. Accept the risks associated with inaccurate, outdated, or incomplete information.

(4) You authorize Fundai, directly or via third parties (including affiliates, telecom companies, or banks), to make necessary inquiries to verify your identity and prevent fraud, including checking identity information (e.g., name, address, previous addresses, date of birth). You further authorize all third parties to respond fully to such inquiries.

(5) Fundai reserves the right to:

(a) Refuse your registration or activation;

(b) Limit the number of accounts per user;

(c) Suspend, restrict, or terminate your access or use if Fundai suspects a violation of the Agreement or improper conduct;

(d) Disable/cancel your account and remove content in cases determined solely by Fundai, including but not limited to:

(i) Providing incorrect, outdated, or incomplete information;

(ii) Suspected violation of the Agreement or other Fundai agreements, or prohibited acts;

(iii) Disputes with Fundai pending legal or judicial proceedings;

(iv) Suspected violation of anti-fraud, AML, or anti-terrorism policies or applicable laws.

(6) You are responsible for safeguarding your account, including all IDs, passwords, API keys, or other codes related to access or use of the Services and Website. Do not use easily identifiable or predictable information (e.g., birthday, phone number, or parts of your name) for your user ID or password. Do not share your account or password with third parties or allow third-party access. Take necessary and reasonable steps to keep your account and password confidential. If your information or personal data is lost or stolen, unauthorized access to your account or loss/theft of digital or other assets may occur. You are responsible for all activities under your account, unless you can provide sufficient evidence that a Fundai system defect caused unauthorized access. If you believe your account or password has been disclosed, lost, stolen, or used without authorization, you must notify Fundai immediately.

5. Anti-Fraud, AML, and Anti-Terrorism

Fundai and its affiliates implement specific anti-fraud, anti-money laundering (AML), and anti-terrorism policies and procedures. Fundai insists on comprehensive customer due diligence, ongoing analysis and reporting, including monitoring suspicious transactions and reporting to authorities as required or proactively. Fundai may retain information and documents as required by applicable laws and policies, and may disclose such information to government agencies. Fundai may determine appropriate verification levels and standards at its sole discretion and may downgrade users without prior notice. Fundai may also adopt policies to restrict verification levels and standards based on nationality, residence, or other factors.

6. Risk Disclosure Statement

You agree and acknowledge that you fully understand the risks involved in trading digital assets and are responsible for reviewing the regulatory status and requirements. Risks include but are not limited to:

(1) Digital assets are not legal tender. You must understand the nature and risks of digital assets before holding, buying, or selling them. Legal obligations may change as the legal status changes.

(2) Fundai does not guarantee that anyone will accept digital assets as payment, and certain jurisdictions may prohibit their use or related transactions. You are responsible for complying with all applicable laws, orders, or rules.

(3) The value of digital assets may fluctuate significantly.

(4) All IT systems, computers, mobile phones, websites, and other devices may be subject to cyberattacks, viruses, trojans, or other intrusions or damage. If the Platform is attacked, your account and digital assets may be adversely affected. Fundai does not guarantee the prevention, detection, mitigation, or remedy of such risks.

(5) Risks may include, but are not limited to, transmission failures or delays due to computer, hardware, software, or website connection failures, which may cause delays, failures, or inoperability of the Website. Instructions may not be properly received, or may be read or known by unauthorized persons. You agree to bear these risks, and Fundai is not liable for losses or damages caused by such misunderstandings or errors.

Whether trading digital assets is suitable for you depends on your financial situation and risk tolerance. By using the Services and Website, you acknowledge and accept all related risks and waive any claims against Fundai for losses or damages arising from trading digital assets.

7. Ownership; License; License Restrictions

(1) Fundai grants you a limited, non-transferable, non-exclusive right to access and use the Services, Website content, and Website for personal, non-profit purposes, subject to the Agreement. Fundai retains all rights, title, and interest, including intellectual property rights.

(2) Website and content information may not be complete, accurate, or current and may contain technical inaccuracies or typographical errors. You should verify all information before relying on it, and Fundai is not responsible for third-party data or websites.

(3) Except as otherwise permitted, you may not:

a. Copy, plagiarize, develop, or reproduce the Services, Website, or content;

b. Create derivative works;

c. Reverse engineer, decompile, or attempt to obtain source code;

d. Distribute malicious software or otherwise disrupt the Services or Website;

e. Distribute, transfer, sell, rent, sublicense, or grant your account to others;

f. Copy, transmit, distribute, sell, license, reverse engineer, modify, publish, transfer, or otherwise exploit Website content;

g. Remove or alter any trademarks, notices, or proprietary labels;

h. Access or tamper with non-public areas or systems;

i. Probe or test system vulnerabilities or circumvent security measures;

j. Access or download content other than through Fundai’s provided interfaces;

k. Forge headers or use the Services to send altered or false source information;

l. Circumvent technical measures protecting the Services or content;

m. Interfere with or disrupt the Services, Website, or others’ access, or place undue burden on the Services or Website.

(4) You agree not to engage in any prohibited conduct as described above. Fundai may monitor, review, retain, and/or disclose any information as required by law or government authorities.

(5) Fundai reserves the right to immediately cancel or suspend your account or block transactions or freeze assets if your account is involved in prohibited conduct or suspected violations, without prior notice. You may not create additional accounts without Fundai’s prior written consent.

8. User Code of Conduct

(1) You agree not to use the Services or Website to:

a. Upload, post, transmit, distribute, or otherwise provide illegal, offensive, threatening, abusive, harassing, pornographic, infringing, defamatory, obscene, or otherwise objectionable content;

b. Incite discrimination, hatred, harassment, or harm against individuals or groups;

c. Impersonate third parties or misrepresent your relationship with others;

d. Upload or provide content you have no right to disclose (e.g., confidential or proprietary information);

e. Infringe third-party patents, trademarks, trade secrets, copyrights, or other rights;

f. Provide unsolicited or unauthorized advertising, marketing, spam, or solicitations;

g. Upload or provide any data containing software viruses, malware, worms, or similar code;

h. Violate the code of conduct, requirements, procedures, policies, or regulations of the Services or Website;

i. Intentionally or unintentionally violate applicable laws or regulations;

j. Incite or participate in terrorist activities or provide related support;

k. Stalk or harass other users;

l. Collect or store personal data of other users without consent;

m. Encourage or assist others to engage in the above conduct.

(2) Fundai may access, retain, or disclose your account information or Website content as reasonably necessary to:

a. Comply with legal processes;

b. Enforce or manage the Agreement or other agreements, including investigating suspected violations;

c. Comply with law enforcement, tax, or other government requests;

d. Respond to customer service requests;

e. Detect, prevent, or address fraud, security, or technical issues;

f. Protect the rights, property, and safety of Fundai, users, and the public.

9. Links to Other Websites

(1) The Website may contain links to third-party websites for convenience only, and Fundai does not endorse or recommend such third-party products, services, or information. Fundai is not responsible for the content or privacy practices of linked websites. You assume all responsibility and risk for using such sites. Upon leaving the Services or Website, you should review the terms of the destination site.

(2) Fundai does not support transactions generated by smart contracts. You assume all responsibility and risks for using smart contracts, and Fundai is not liable for any related consequences.

10. Disclaimer and Liability

(1) The Services, Website, and content are provided "as is" without any warranties or representations. You should verify and use the Services, Website, and content with caution and not rely on Fundai for personal, legal, or financial decisions. Fundai does not guarantee the continued provision of the Services, Website, or content and may change, improve, or update them without notice. Fundai is not responsible for errors or omissions or for any risks or liabilities arising from your access or use.

(2) To the maximum extent permitted by law, Fundai and its affiliates, managers, directors, employees, agents, or anyone involved in producing, developing, or delivering the Services, Website, or content shall not be liable to you or others for any indirect, incidental, special, or punitive damages, or loss of data, opportunities, reputation, profits, or income.

11. Indemnification

You agree, to the extent permitted by law, to defend, indemnify, and hold harmless Fundai, its parent company, managers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising from:

(a) Your violation of laws, regulations, or the Agreement;

(b) Your use or misuse of the Services and Platform;

(c) Disputes with other users;

(d) Your violation of third-party rights, including intellectual property, confidential information, or privacy rights.

This indemnification obligation survives termination or expiration of the Agreement or your cessation of use of the Services and Website.

12. General Provisions

(1) No Class Actions, Jurisdiction, and Governing Law

To the extent permitted by law, you and Fundai may only bring claims in your individual capacity and not as part of a class, representative, consolidated, or mass action. Both parties waive the right to a jury trial. The Terms of Service are governed by the laws of the Republic of China (Taiwan). The Taiwan Taipei District Court has exclusive jurisdiction for any disputes.

(2) Amendments

Fundai reserves the right to modify, suspend, or terminate the Services or Website or revise the Agreement at any time without prior notice. If changes significantly limit your rights, we will notify you (e.g., by posting on this page). Continued use of the Services after changes constitutes acceptance.

(3) Entire Agreement

This Agreement constitutes the entire agreement between you and Fundai and supersedes any prior or contemporaneous oral or written agreements.

(4) Assignment

Except as otherwise provided, you may not assign any rights or obligations under this Agreement. Fundai may assign its rights or obligations to any affiliate, subsidiary, or successor without restriction.

(5) Waiver and Severability

Fundai’s failure to enforce any provision does not constitute a waiver. If any provision is found invalid or unenforceable, the remaining provisions remain effective.

(6) Change of Control

If Fundai is acquired or merged, it may transfer information collected from you as part of such transaction.

(7) Survival

Provisions that by their nature should survive termination or expiration of the Agreement, including those relating to termination or suspension, remain effective.

(8) Force Majeure

Fundai is not liable for failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, government actions, terrorism, civil unrest, war, strikes, equipment or software failures, or significant fluctuations in supported digital assets.
